Association Rules

ESSEX YEOMANRY ASSOCIATION RULES: 1997
(as approved at a General Meeting on 17 November 1980,
and incorporating subsequent amendments in 1985 and 1992).
1. NAME
The name of the Association shall be the Essex Yeomanry Association (hereinafter called 'the Association'). The Association incorporates the Essex RHA OCA, and is affiliated to the Royal Artillery Association and in close association with the Imperial Yeomanry Benevolent Fund).

2. MEANING OF WORDS
In the Constitution and Rules, unless the context otherwise requires, the following words shall have the following meanings:
'The Regiment' shall mean the 70 Essex Yeomanry) Signal Squadron of 71 (Yeomanry) Signal Regiment (Volunteers), Territorial and Army Volunteer Reserve or any unit for the time being of the Territorial and Army Volunteer Reserve which incorporates in its title the words 'Essex Yeomanry'. 'the former units' shall mean any unit of the Territorial Army which had incorporated in its title the words 'Essex Yeomanry'.

3. OBJECTS
The Objects of the Association are:
(1.) To promote the efficiency of the Regiment and to maintain its history, traditions and esprit de corps.
(2.) To relieve either generally or individually persons who are serving or have served in the Regiment or any former units, and their dependents, who are in conditions of need, hardship or distress.
(3.) In furtherance of these Objects, but not otherwise, the Association through its General Committee shall have the following powers:
i) to take all necessary action for publicising and disseminating information concerning the Regiment's and the former units' histories,
deeds and traditions and for the encouragement of recruiting.
ii) to execute and administer charitable trusts;
iii) to receive, take and accept any gifts of property whether subject to any special trusts or not;
iv) to receive and accept contributions by way of subscriptions, donations or otherwise, and to raise funds for the said Objects,
provided that the General Committee shall not undertake any permanent trading activities concerned solely with the said raising of
funds;
v) to assist distressed and needy beneficiaries and their dependents by way of grants, gifts, pensions or otherwise, and where necessary
to promote their education and advancement in life;
vi) to pay for such items, services or facilities by way of donations or subscriptions to charitable institutions or organisations which
provide or which undertake in return to provide such items, services or facilities for distressed and needy beneficiaries;
vii) subject to such consents as may from time to time be required by law to purchase, take, lease or exchange any property required
for the purposes of the Association and lease, exchange or otherwise dispose of the same;
viii) subject to such consents as may from time to time be required by law to borrow or raise money for the purposes of the
Association on such terms and such security as may be thought fit;
ix) to accumulate funds of the Association for such period as from time to time be authorised by law;
x) to do all such other things as shall be necessary for the attainment of the said Objects.

4. QUALIFICATION FOR MEMBERSHIP
The following shall be eligible:
(1.) All those who served in the Essex Yeomanry and Essex RHA prior to 3rd. September 1939.
(2.) All those who have had a total of six months' service in one or more of the following units: 104th (Essex Yeomanry) Regt. RHA
147th (Essex Yeomanry) Field Regt. RA
14th Regiment RHA
191st (Herts and Essex Yeomanry) Field Regt. RA
304th (Essex Yeomanry) Field Regt. RA (TA)
304th (Essex Yeomanry-RHA) Medium Regt. RA (TA)
304th (Essex Yeomanry-RHA) Field Regt. RA (TA)
70 (Essex Yeomanry) Signal Squadron (V)
The Essex Yeomanry Cadre RHA
Any Unit or Sub-Unit of the Territorial Army possessing for the time being the designation 'Essex Yeomanry' as part of its title.
(3.) Members of the Band of the Essex Yeomanry Association and adult members of the Essex Yeomanry Company of the Essex Army Cadet Force after a total of six months' service in each case.
(4.) The Officer commanding the Essex Yeomanry Company of the Essex Army Cadet Force.
(5.) The Committee shall have the power to refuse any application for membership and to expel from the Association any member whose conduct shall warrant such course.
(6.) On the proposal of the General Committee, Honorary Members may be elected at the Annual General Meeting.

5. SUBSCRIPTIONS
(1.) For Officers there is a minimum annual subscription fixed by the General Committee
from time to time, and payable on 1st. January each year. *
(2.) For other members there is no annual subscription, but a life membership subscription of £2 is payable on joining. Members may make an annual payment if they wish.

6. CONSTITUTION AND MANAGEMENT
(1.) The President of the Association will be elected annually at the Annual General Meeting. Past Presidents shall be ex-officio Vice-Presidents and additional Vice-Presidents may be elected by the Annual General Meeting.
(2.) The Association shall be managed by a General Committee consisting of the following:

Two representing 104th and 14th Regiments, 1939-1946 inclusive
Two representing the 147th and 191st Regiments, 1939-1946 inclusive

One representing the Essex Yeomanry Cadre, 1969-1975
One representing each Branch of under 50 members
Two representing each Branch of over 50 members
One representing the Essex Yeomanry Band
One representing all who have served in the Signal Squadron since 1969
The Officer commanding the Regiment, Unit or Sub-Unit and one other serving member of the Regiment, Unit or Sub-Unit,
to be nominated annually by the Officer Commanding
Ten co-opted, if desired.
(3.) Officers and Members of the General Committee will be elected annually at the Annual General Meeting.
(4.) Vacancies on the General Committee will be filled as they occur by the General Committee.
(5.) Seven shall form a quorum at a General Committee Meeting.
(6.) An Assistant to the Honorary Secretary may be appointed by the Committee if desired.
(7.) The General Committee shall have the power to appoint sub-committees to which it may delegate its powers in such manner and upon such conditions as the General Committee from time to time shall decide.
(8.) Trustees for the Association comprising not more than 4 individuals, shall be appointed by a General Meeting of Members from time to time on occasions required by the General Committee and shall hold and administer the trust funds of the Association in trust for the general purposes of the Association under the directions of the said General Committee.
(9.) All other monies received shall be paid into a Banking Account in the name of the Association, and all payments must be sanctioned by the Chairman of the General Committee, the Honorary Secretary or the Honorary Treasurer. All cheques must be signed by any two of the following: the President, the Chairman, the Honorary Secretary or the Honorary Treasurer.
(10.) The accounts, duly audited, shall be presented at the Annual General meeting for approval. (11.) Honorary Auditors for the current year shall be elected at the Annual General Meeting.
(12.) The Annual General Meeting shall be held annually at such place and at such time and on such date as the General Committee shall from time to time determine.
(13.) These Rules, except 2, 3 (1) (2) & (3), 6 (14) and this Rule may be altered, repealed or added to by resolution passed by a three-fourths majority of members of the Association present in person at a meeting convened for that purpose and of which not less than seven days notice has been given to members. Provided that no alteration shall be made which would cause the Association to cease to be a Charity at law.
(14.) If at any time it appears to members that the Association is for any reason not required for the above mentioned Objects, then the members may resolve that the Association be dissolved and any property remaining after satisfaction of all proper debts and liabilities whatsoever shall be transferred to such one or more other Regimental Charities and in such proportion as the members may direct.

7. BRANCHES
(1.) The General Committee shall be empowered to confirm and authorise the formation of Branches comprising members of the Association and having objects consistent with these rules, and to order and supervise the winding up of such Branches.
(2.) Each Branch shall supply to the General Committee the following
i) A copy of its rules and any amendments thereto.
ii) Within one month of its Annual General Meeting an updated list of its members.
iii) Within one month of adoption, a copy of its annual audited accounts.
* Note:- At the meeting of the General Committee in February 1991, the minimum annual subscription for Officers was fixed at £10.
